Surgr Terms of Service

Welcome to Surgr. Surgr is operated by Alex Morris LLC, a Wyoming limited liability company ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Surgr website, platform, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Description of Service

Surgr is a social media scheduling and auto-publishing platform that enables creators and businesses to draft, schedule, and automatically publish posts and threads to connected social platforms such as TikTok, YouTube, LinkedIn, Instagram, and X.

2. Account Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload, post, or transmit content that infringes intellectual property rights
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the integrity or performance of the Service

4. User Content

Your Content: You retain ownership of all content you upload, post, or create through the Service ("User Content"). By uploading User Content, you grantSurgr a worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, and distribute your User Content solely for the purpose of providing and improving the Service.

Responsibility: You are solely responsible for your User Content and the consequences of sharing it. You represent that you have all necessary rights to upload and share your User Content.

5. Intellectual Property

The Service, including its original content, features, functionality, design, and branding (excluding User Content), is owned by Surgr and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

6. Subscription and Payment

Certain features of the Service require a paid subscription. By subscribing, you agree to:

  • Pay all applicable fees as described at the time of purchase
  • Provide accurate billing information
  • Authorize recurring charges for subscription plans

Subscriptions automatically renew unless cancelled before the renewal date. Refunds are provided in accordance with our refund policy or as required by law.

7. Free Trial

We may offer free trials of paid features. At the end of the trial period, you will be charged unless you cancel before the trial ends. We reserve the right to modify or terminate free trial offers at any time.

8. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. You may also delete your account at any time by contacting us.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SURGR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

11. Indemnification

You agree to indemnify, defend, and hold harmless Surgr and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

12. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective Date." Your continued use of the Service after changes constitutes acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with applicable arbitration rules.
